  • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

TechResona Pvt Ltd provides various information technology services including but not limited to:

  • Microsoft 365 and Google Workspace licensing
  • IT consulting and managed services

Service Level Agreements

Specific Service Level Agreements (SLAs) may be provided in separate documentation for enterprise clients and managed services contracts. Standard support hours are Monday to Friday, 9:00 AM to 6:00 PM IST, unless otherwise agreed upon in writing.

Payment Terms

Pricing and Fees

  • All prices are quoted in Indian Rupees (INR) unless otherwise stated.
  • Pricing may vary based on project scope, complexity, and requirements.
  • Custom quotes will be provided for enterprise solutions.

Payment Schedule

  • For project-based work: Typically 50% advance payment, 50% upon completion.
  • For monthly services: Payment due at the beginning of each billing cycle.
  • For annual contracts: Payment terms as specified in the service agreement.

Late Payments

Payments not received within 15 days of the due date may result in suspension of services. Late payment charges of 1.5% per month may apply.

Intellectual Property Rights

Client Ownership

Upon full payment for services, clients retain ownership of:

  • Custom-developed websites and applications
  • Original content created specifically for the client
  • Designs and deliverables created under the service agreement

Company Ownership

TechResona retains ownership of:

  • Proprietary tools, frameworks, and methodologies
  • Pre-existing intellectual property and code libraries
  • Internal processes and documentation

Third-Party Licenses

Some services may utilize third-party software, plugins, or services that are subject to their respective licenses and terms.

Client Responsibilities

Information and Access

Clients agree to:

  • Provide accurate and complete information required for service delivery
  • Grant necessary access to systems, accounts, and resources
  • Respond to queries and requests in a timely manner
  • Review and approve deliverables within agreed timeframes

Content and Materials

Clients are responsible for:

  • Ensuring they have rights to any content, images, or materials provided
  • Accuracy and legality of all content supplied
  • Obtaining necessary permissions and licenses

Service Warranties and Disclaimers

Professional Services

We warrant that services will be performed with reasonable skill and care in accordance with industry standards. However, we do not guarantee specific results, rankings, traffic levels, or business outcomes.

Website and Application Performance

While we strive for optimal performance:

  • We do not guarantee 100% uptime for websites hosted on third-party servers
  • Performance may be affected by factors outside our control
  • SEO results depend on many factors including search engine algorithms

”AS IS” Services

Certain services, particularly those involving third-party platforms, are provided “AS IS” without warranties of any kind beyond our control.

Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid by the client for the specific service in question
  • We are not liable for indirect, consequential, or incidental damages
  • We are not liable for losses arising from third-party service failures
  • We are not liable for business losses, data loss, or revenue loss beyond our direct control

Confidentiality

Both parties agree to:

  • Keep confidential information private and secure
  • Use confidential information only for the purposes of service delivery
  • Not disclose confidential information to third parties without consent
  • Return or destroy confidential information upon request

Termination

By Client

Clients may terminate services by:

  • Providing 30 days written notice for ongoing services
  • Paying for all services rendered up to the termination date
  • Completing any minimum contract term if applicable

By Company

We may terminate or suspend service immediately for:

  • Non-payment of fees
  • Breach of these Terms and Conditions
  • Illegal or unethical use of services
  • Abusive behavior towards staff

Effects of Termination

Upon termination:

  • All outstanding fees become immediately due
  • Access to services will be discontinued
  • Client data may be retained for 30 days before permanent deletion
  • Final deliverables will be provided upon full payment

Dispute Resolution

Informal Resolution

In the event of any dispute, both parties agree to first attempt informal resolution through good-faith negotiations.

Arbitration

If informal resolution fails, disputes shall be resolved through arbitration in Pune, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996.

Jurisdiction

These Terms shall be governed by the laws of India. Courts in Pune, Maharashtra shall have exclusive jurisdiction.

Indemnification

You agree to indemnify and hold TechResona Pvt Ltd harmless from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your use of the Service in violation of applicable laws
  • Content or materials you provide that infringe intellectual property rights

Changes to Terms and Conditions

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting updated Terms on the Website
  • Sending email notification to registered clients
  • Providing 30 days notice before changes take effect

Continued use of services after changes indicates acceptance of modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between You and TechResona Pvt Ltd regarding the Service and supersede all prior agreements and understandings, whether written or oral.
